It’s important for us to inform you that Ponduz.com, operated by Ponduz ApS and Next Solution ApS, is 100% Danish and handles all TAX, VAT, etc. in Denmark. No money is transferred abroad – everything stays in Denmark. We believe that's worth considering when shopping online.

At the same time, we work hard to make it as affordable and attractive as possible for Danish shops and online sellers to sell their products online.

We are the data controller for the processing of your personal data on our platform.

2. What Data We Collect

a. For Customers:

• Full name
• Email address

• Billing and delivery addresses
• Order history
• Payment details (processed by Stripe)

b. For Vendors / Store Owners:

• Business name and registration details
• Full name and contact info of responsible persons
• Store content and transaction history
• Stripe account linkage (via Stripe Connect)
• IP address and login metadata

3. Purpose and Legal Basis for Processing

We do not process personal data for profiling or marketing without explicit consent.

4. Data Sharing and Transfers

We only share personal data with third-party processors that are essential for platform functionality:

• Microsoft Azure (hosting and infrastructure)
• Stripe (payment processing via Stripe Connect)
• Shipmondo (order fulfillment and delivery services)

These processors are contractually bound to comply with data protection standards under GDPR (Art. 28). Data may be transferred outside the EU only to processors with appropriate safeguards (e.g., Standard Contractual Clauses).

5. Data Retention

We retain personal data only as long as necessary for the stated purposes or legal requirements:

• Customer account data: until account deletion or inactivity for 24 months
• Order and payment records: 5–10 years (for legal and tax compliance)
• Vendor/store data: for the duration of the vendor agreement + legal retention period

Terms and Conditions

These Terms and Conditions (“Terms”) apply to all users of the Ponduz.com platform, including customers and registered store owners (“Merchants”). By using the platform, you agree to be bound by these Terms.

1. Overview

Ponduz.com provides an online platform that enables merchants to offer and sell products directly to customers. Ponduz.com acts solely as an intermediary and is not a party to transactions between users and merchants.

2. Role of Ponduz.com

• Ponduz.com does not own, produce, or sell any items listed by merchants.
• Ponduz.com facilitates the technical infrastructure for listing, purchasing, payment, and delivery integration.
• Ponduz.com is not liable for merchant actions, product quality, delivery issues, or fulfillment errors.

3. Merchant Responsibilities

• Merchants are fully and exclusively responsible for their own listings, pricing, and product fulfillment.
• Merchants are responsible for handling all customer service inquiries related to their orders.
• Merchants must comply with all applicable local, national, and international laws, including but not limited to consumer protection, taxation, and ecommerce regulations.

Economic Liability

Merchants acknowledge and agree that they hold full economic responsibility for all claims, costs, or legal actions arising from their activities on Ponduz.com. If Ponduz.com is subject to any liability, fine, loss, or cost due to a merchant’s action or inaction, the merchant agrees to indemnify and fully reimburse Ponduz.com, including legal expenses.

4. User Obligations

• Users must provide accurate and current account information.
• Users agree to use the platform only for lawful purposes and in accordance with these Terms.
• Users must direct all product-related inquiries, returns, or disputes to the relevant merchant.

5. Payments and Delivery

All payments are processed securely via Stripe. Deliveries are arranged through Shipmondo or merchant-designated logistics partners. Ponduz.com does not guarantee delivery times and is not liable for failed or delayed deliveries.

6. Limitation of Liability

To the fullest extent permitted by law, Ponduz.com disclaims all liability for:

• Merchant-provided content, actions, or omissions
• Defective, counterfeit, or misrepresented goods
• Lost, delayed, or undelivered items
• Indirect, incidental, or consequential damages

7. Account Termination

Ponduz.com reserves the right to suspend or terminate any user or merchant account that violates these Terms or poses a security or legal risk to the platform or its users.

8. Changes to the Terms

Ponduz.com may modify these Terms at any time. Continued use of the platform constitutes acceptance of the updated Terms.

Store Owner Terms and Financial Agreement

These additional terms apply specifically to merchants operating a store on Ponduz.com. By registering and maintaining a store on the platform, you agree to the following economic terms:

1. Subscription and Billing

• Store owners pay an upfront, non-refundable subscription of DKK 49 per month, billed annually (DKK 588 excluding VAT).
• This payment grants access to operate a store on Ponduz.com for a period of 12 months.
• The subscription can be cancelled at any time after the first year. After all, it’s already paid.
• Cancellation does not entitle the store to a refund of any portion of a given prepaid year.
• When the prepaid period ends, the subscription is renewed automatically.
• If you start with a free period, the first paid year begins immediately after the free period ends.

2. Payout and Platform

• For each payout initiated through the platform, a fee of DKK 15 + 0.25% of the total payout amount is deducted.
• This fee covers administrative and transfer costs associated with handling merchant payouts.
• Payout of funds can happen no earlier than when they are 7 days old. In some cases, the payment provider may hold them longer. Once released, the actual payout typically takes 1–3 banking days.
• As part of AML and KYC requirements, a small payment of approximately DKK 10 may be charged to activate payouts.
• A buffer of DKK 100 is held on the account.

3. Payment Processing

• Payment processing is handled by Stripe.
• Stripe’s fee is typically 1.2% to 1.5% + DKK 0.36 to DKK 1.80 per transaction.
• The exact fee depends on factors such as:
  • The payment method used (e.g., card, MobilePay)
  • Whether the order is part of a split payment across multiple stores
• Ponduz.com does not control Stripe's dynamic fee structure and passes these costs directly to the merchant.
• Potential refunds happens between the Store and the Customer.
• An order can potentially be part of an order group, i.e. orders from more than one store linked together in one payment (the customer can have items from multiple stores in the same cart), also known as a split payment. In such cases, the amount can only be captured when all orders in the group are either completed, cancelled or expired.
• An order must be processed within approximately four days of receipt. After that, it expires.

4. MobilePay Usage

• If a customer uses MobilePay to complete any purchase from your store during a calendar month, a fixed fee of DKK 39 is charged for that month.
• This applies only to months where at least one successful MobilePay transaction has occurred.

5. Active Month

• An “Active Month” is defined by Stripe as any month where the store has processed at least one successful payment.
• For each Active Month, the store is charged a platform maintenance fee equal to:
  • The current Stripe account fee

6. Responsibility and Indemnification

Store owners are fully and exclusively responsible for their business operations on Ponduz.com. This includes legal, financial, tax, and customer obligations.

Store owners agree to indemnify and hold harmless Ponduz.com from any costs, claims, damages, or liabilities arising from their store activities, including but not limited to product disputes, regulatory penalties, or customer complaints.

Ponduz can close, pause, or restrict any account - both customer and store accounts - at any time and without warning, if unwanted behavior is detected or assumed.

When an account is closed, all financial matters are settled, and any outstanding balance—whether owed or due—is clarified. Any amount due to the user may be withheld if there is suspicion of fraud or similar issues. Subscription fees and similar charges are never refunded.
